📄 Terms and Conditions – Wize Power Rider App

1. Acceptance of Terms

1.1 By downloading or using the Wize Power mobile app, activating a battery subscription, or using Wize Power bikes, batteries, or swapping stations, the Customer and its Users agree to comply with these Terms in full.
1.2 If you do not agree, you may not access or use the Service.

2. Service Scope

2.1 Wize Power provides access to designated battery swapping stations, charging services, and related infrastructure.
2.2 Only authorized Customers and 3PL Users with valid access cards may use the Service.
2.3 The Service is limited to UAE territory unless otherwise approved in writing by Wize Power.


3. Service Fees & Payment

3.1 Customers agree to pay monthly service fees as defined in their subscription or provisioning form.
3.2 Fees are payable upfront by the 5th of each month and subject to VAT.
3.3 Late payment, dishonored payments, or outstanding invoices shall be considered a breach of these Terms.


4. Disconnection for Non-Payment

4.1 If a Customer fails to pay invoices on time, Wize Power reserves the right to immediately suspend or disconnect the Customer and its Users from the BaaS network without further notice.
4.2 Access cards, app functionality, and battery services may be deactivated until all outstanding amounts are fully settled.
4.3 Disconnection does not release the Customer from liability to pay accrued or future fees due under the contract term.

5. Customer Obligations

• Use Wize Power batteries and equipment in compliance with the User Manual.
• Ensure authorized 3PL riders follow safety and swapping procedures.
• Return all batteries, bikes, and access cards upon contract expiry or termination.
• Not attempt unauthorized repairs, transfers, or modifications.

6. Suspension of Service

Wize Power may temporarily suspend services without liability for:

• Maintenance, upgrades, or relocation of infrastructure.
• Natural disasters, outages, or third-party interference.
• Misuse, damage, theft, or unauthorized use of batteries or equipment.

7. Termination

Wize Power may terminate or restrict services if:

• The Customer fails to pay invoices or breaches these Terms.
• Equipment is lost, stolen, or damaged.
• Unauthorized transfers, misuse, or illegal activities occur.

8. Intellectual Property

All Wize Power trademarks, logos, and proprietary technology remain the property of Wize Power. Customers receive a limited, non-transferable license to use them only for Service purposes.

9. Confidentiality
Both parties shall keep confidential any technical, operational, or business information shared under these Terms, unless disclosure is legally required.

10. Limitation of Liability

Wize Power provides the Service “as is.” To the extent permitted by law, we disclaim liability for indirect, incidental, or consequential damages, except in cases of gross negligence or willful misconduct.

11. Governing Law & Jurisdiction

These Terms are governed by the laws of the United Arab Emirates. Any dispute shall be resolved under the jurisdiction of Dubai Courts.


12. Modifications

Wize Power may update these Terms from time to time. Updated Terms will be communicated through the app or billing statement. Continued use of the Service constitutes acceptance of the updated Terms.


By using the Wize Power app, bikes, and battery swapping stations, the Customer and all Users expressly acknowledge and agree to these Terms and Conditions of Service.

شروط وأحكام الخدمة


شركة وايز باور لتأجير الدراجات النارية ذ.م.م
(يُشار إليها فيما بعد بـ “وايز باور” أو “نحن” أو “لنا”)

تُحكم هذه الشروط والأحكام (“الشروط”) استخدام خدمات تبديل البطاريات والتطبيق الإلكتروني والبنية التحتية ذات الصلة المقدمة من قبل وايز باور (“الخدمة”). عند التسجيل أو الدخول أو استخدام الخدمة – بما في ذلك استخدام تطبيق وايز باور أو أي دراجة أو بطارية متصلة بالخدمة – يؤكد العميل أو المستخدم (“العميل” أو “المستخدم”) أنه قد قرأ وفهم ووافق على الالتزام بهذه الشروط بالكامل.



1. قبول الشروط


1.1 عند تنزيل أو استخدام تطبيق وايز باور أو تفعيل اشتراك البطارية أو استخدام دراجات أو بطاريات أو محطات تبديل وايز باور، يوافق العميل وجميع مستخدميه على الالتزام بهذه الشروط.
1.2 في حال عدم الموافقة، لا يحق للعميل أو المستخدم الدخول أو استخدام الخدمة.



2. نطاق الخدمة


2.1 توفر وايز باور إمكانية الوصول إلى محطات تبديل البطاريات، خدمات الشحن، والبنية التحتية ذات الصلة.
2.2 يقتصر الاستخدام على العملاء المصرح لهم وشركات النقل (3PL) المعتمدة الحاصلة على بطاقات وصول سارية.
2.3 تقتصر الخدمة على أراضي دولة الإمارات العربية المتحدة إلا إذا تمت الموافقة كتابةً من وايز باور على خلاف ذلك.



3. الرسوم والدفع


3.1 يلتزم العميل بسداد الرسوم الشهرية المحددة في استمارة الاشتراك أو النموذج المرفق.
3.2 تُدفع الرسوم مقدماً قبل اليوم الخامس من كل شهر وتخضع لضريبة القيمة المضافة.
3.3 يُعتبر التأخير في السداد أو عدم تسوية الفواتير إخلالاً بهذه الشروط.



4. فصل الخدمة لعدم السداد


4.1 في حال عدم سداد الفواتير في الوقت المحدد، تحتفظ وايز باور بالحق في تعليق أو فصل العميل ومستخدميه من شبكة الخدمة فوراً وبدون إشعار مسبق.
4.2 يمكن إلغاء تفعيل البطاقات والتطبيق وإيقاف خدمات البطارية حتى يتم سداد جميع المبالغ المستحقة بالكامل.
4.3 لا يُعفي الفصل العميل من مسؤوليته عن سداد الرسوم المتراكمة أو المستقبلية خلال مدة العقد.



5. التزامات العميل

• استخدام البطاريات والمعدات وفقاً لدليل المستخدم.
• ضمان التزام السائقين التابعين لشركات 3PL بإجراءات السلامة والتبديل.
• إعادة جميع البطاريات والدراجات والبطاقات عند انتهاء أو إنهاء العقد.
• عدم محاولة الإصلاح أو النقل أو التعديل غير المصرح به.

6. تعليق الخدمة


يجوز لوايز باور تعليق الخدمة مؤقتاً دون مسؤولية في الحالات التالية:

• أعمال الصيانة أو الترقية أو إعادة التوزيع.
• الكوارث الطبيعية أو انقطاع الكهرباء أو تدخل أطراف خارجية.
• سوء الاستخدام أو السرقة أو فقدان البطاريات أو المعدات.

7. إنهاء الخدمة


يجوز لوايز باور إنهاء أو تقييد الخدمة إذا:

• أخل العميل بسداد الفواتير أو بهذه الشروط.
• فُقدت أو سُرقت أو تعرضت المعدات للتلف.
• حدثت عمليات نقل أو استخدام غير مصرح به أو أنشطة غير قانونية.

8. الملكية الفكرية


تظل جميع العلامات التجارية والشعارات والتقنيات المملوكة لوايز باور ملكاً حصرياً لها. يحصل العميل فقط على ترخيص محدود وغير قابل للتحويل لاستخدامها لأغراض الخدمة.



9. السرية


يتعهد الطرفان بالحفاظ على سرية أي معلومات فنية أو تشغيلية أو تجارية يتم تبادلها بموجب هذه الشروط، إلا إذا كان الكشف مطلوباً بموجب القانون.



10. حدود المسؤولية


تُقدم وايز باور الخدمة “كما هي”. وإلى أقصى حد يسمح به القانون، لا تتحمل وايز باور أي مسؤولية عن الأضرار غير المباشرة أو العرضية أو التبعية، باستثناء حالات الإهمال الجسيم أو التعمد.



11. القانون والاختصاص القضائي


تخضع هذه الشروط لقوانين دولة الإمارات العربية المتحدة. ويُعهد بالفصل في أي نزاع إلى محاكم دبي.



12. التعديلات


يجوز لوايز باور تحديث هذه الشروط من وقت لآخر. سيتم إبلاغ العملاء بالتحديثات عبر التطبيق أو الفاتورة. ويُعد استمرار استخدام الخدمة قبولاً بالشروط المحدثة.
